Welcome to OpenLot, a reverse marketplace where manufactured-home buyers post what they want and licensed dealer CSRs compete with itemized, out-the-door offers. These Terms explain the rules for using OpenLot.
Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you and Wilson IT Solutions LLC (“WITS”, “we”, “us”), which owns and operates OpenLot. By creating an account or using OpenLot, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use OpenLot.
These Terms include a binding arbitration agreement and class-action waiver in the “Disputes” section below. Please read it carefully.
Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- You must give accurate information and keep it up to date.
- You are responsible for keeping your login credentials secure and for all activity on your account. Tell us right away if you suspect unauthorized use.
- If you use OpenLot on behalf of a dealership, you confirm you are authorized to act for that dealership, and the dealership is also bound by these Terms.
What OpenLot is, and isn't
OpenLot is an online venue where manufactured-home buyers post home requests and dealer customer sales representatives (“CSRs”) submit competing offers. OpenLot is a technology platform only.
WITS is not a manufactured-home dealer, retailer, manufacturer, installer, lender, mortgage broker, real-estate broker, or escrow agent. We are not a party to any agreement between a buyer and a dealer, we do not inspect homes or verify every statement in a bid, and we do not guarantee that any dealer will perform. Any purchase agreement, financing, deposit, delivery, installation, or warranty is solely between the buyer and the dealer (and any lender, manufacturer, or installer they choose).
OpenLot does not collect, hold, or transfer deposits or home-purchase funds. Buyers should review all documents carefully, confirm deposit terms in writing, verify dealer licensing with their state, and consider independent legal or financial advice before paying anything.
Buyer terms
- Post only genuine requests for a home you are considering buying, with accurate details.
- Any estimated credit score you enter is self-reported, optional, and used only to help dealers frame financing options. OpenLot does not pull or verify credit reports, and providing a score is not a credit application.
- Bids are offers from dealers, not from OpenLot. Accepting a bid on OpenLot signals your choice to that dealer; it does not by itself create a purchase contract with the dealer or any contract with WITS.
- Prices, availability, and delivery dates in a bid are the dealer's responsibility and may change until you sign a written agreement with the dealer.
Dealer and CSR terms
If you use OpenLot as a CSR or on behalf of a dealership, you agree to:
- Hold and maintain every license required to sell manufactured homes in the states where you bid, and keep your license information on OpenLot accurate.
- Bid only on requests within your dealership's service area and only on homes you can actually provide.
- Give honest, complete, itemized pricing, including the out-the-door total, and honor the terms you present, subject to the written agreement you sign with the buyer.
- Comply with all applicable laws, including the HUD Manufactured Home Construction and Safety Standards, state installation and licensing rules, consumer-protection, fair-lending, and fair-housing laws, and the CAN-SPAM and TCPA rules for any follow-up communications.
- Use buyer information only to respond to that buyer's request, and not sell, rent, or reuse it for unrelated marketing.
CSR plans, billing, and cancellation
- CSRs may use a free plan with limited bids. Paid plans (such as Standard and Pro) are billed monthly per CSR, in advance, through our payment processor, Stripe, and include the bid limits shown on our Pricing page.
- Paid plans renew automatically each month until you cancel. By subscribing, you authorize us (through Stripe) to charge your payment method each billing period.
- You can cancel at any time from your Billing page. Cancellation takes effect at the end of the current billing period, and you keep access to your plan until then.
- Fees are non-refundable, and we do not provide prorated refunds or credits for partial billing periods or unused bids, except where required by law.
- Unused bids do not roll over to the next billing period.
- We may change plan prices or features. We'll give you at least 30 days' notice before a price change applies to your subscription, and you can cancel before it takes effect.
- You are responsible for any applicable taxes. If a payment fails, we may suspend paid features until it's resolved.
See current plans on the Pricing page.
Acceptable use
You agree not to:
- Post false, misleading, or bait-and-switch requests, bids, or profile information.
- Harass, threaten, pressure, or discriminate against any user.
- Use OpenLot data to contact users about anything other than the related home request, or to send spam.
- Scrape, crawl, copy, or harvest data from OpenLot, or use bots or automated tools without our written permission.
- Impersonate anyone, create accounts for others without authorization, or share accounts.
- Interfere with OpenLot's security or operation, probe for vulnerabilities, or upload malware.
- Circumvent plan limits or fees, or use OpenLot for any unlawful purpose.
Your content
You keep ownership of the content you submit, such as requests, bids, photos, profile details, and messages (“Your Content”). You grant WITS a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process Your Content as needed to operate, secure, and improve OpenLot. You confirm you have the rights to everything you submit and that it doesn’t violate anyone else’s rights or the law. We may remove content that violates these Terms.
Ratings, reviews, and AI summaries
Dealer ratings and review themes on OpenLot are drawn from public third-party sources, such as Google Maps reviews, and may be summarized with AI. They are provided for information only, may be incomplete or out of date, and do not represent the views of WITS or an endorsement of any dealer.
Our intellectual property
OpenLot, including its software, design, text, graphics, logos, and the OpenLot name, is owned by Wilson IT Solutions LLC and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use OpenLot for its intended purpose under these Terms. If you send us feedback, we may use it without obligation to you.
Third-party services
OpenLot relies on third-party services such as Stripe, Google, and GitHub, and may link to dealer websites and listings. Your use of those services is governed by their own terms, and we are not responsible for them.
Suspension and termination
You may stop using OpenLot and ask us to close your account at any time. We may suspend or terminate your access, remove content, or withdraw bids if we reasonably believe you violated these Terms, created risk or legal exposure for us or other users, or if required by law. Sections that by their nature should survive termination, including fees owed, disclaimers, limitation of liability, indemnification, and disputes, will survive.
Disclaimers
OpenLot is provided “as is” and “as available.” To the fullest extent permitted by law, WITS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that OpenLot will be uninterrupted, error-free, or secure, or that any bid, listing, rating, dealer, or home will meet your expectations. We are not responsible for the conduct of any user, dealer, lender, manufacturer, or installer.
Limitation of liability
To the fullest extent permitted by law, WITS and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or deposits, arising from or related to OpenLot or any transaction between users, even if advised of the possibility of such damages. Our total liability for any claim relating to OpenLot is limited to the greater of (a) the amounts you paid us in the 12 months before the claim arose or (b) one hundred U.S. dollars ($100). Some jurisdictions don’t allow certain limitations, so some of these may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless Wilson IT Solutions LLC and its members, officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of OpenLot, Your Content, your dealings with other users, or your violation of these Terms or the law.
Disputes, arbitration, and class-action waiver
Informal resolution. Before filing a claim, you agree to contact us at info@wilsonitsolutions.com and try to resolve the dispute informally for at least 30 days.
Binding arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to these Terms or OpenLot will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or its Commercial Arbitration Rules for disputes with dealers or CSRs acting for a business). The arbitration will take place in Birmingham, Alabama, or by video or phone if you prefer, before a single arbitrator. The Federal Arbitration Act governs this agreement to arbitrate. The arbitrator’s decision is final and may be entered in any court with jurisdiction.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive relief in court to stop infringement or misuse of intellectual property.
Class-action waiver. You and WITS agree that claims may be brought only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any form of class proceeding.
Opt out. You can opt out of this arbitration agreement by emailing info@wilsonitsolutions.com within 30 days after you first create an OpenLot account, with your name, account email, and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
Governing law and venue. These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law rules. For any dispute not subject to arbitration, you and WITS agree to the exclusive jurisdiction of the state and federal courts located in Jefferson County, Alabama.
Changes to these terms
We may update these Terms from time to time. We will post the updated version here with a new “Last updated” date, and for material changes we will notify you by email or in the app before they take effect. Continuing to use OpenLot after changes take effect means you accept them.
General
These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and WITS about OpenLot. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us must be sent to 4041 Grove Park Circle, Birmingham, AL 35242 or info@wilsonitsolutions.com.
